These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Kaiyo Technology Labs ("Company", "we", "us", "our"), governing your access to and use of our website, mobile applications, software products, and related services (collectively, the "Services").

By accessing or using our Services, registering an account, or clicking "I Agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Company Information

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are of legal age and have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Our Services

Kaiyo Technology Labs provides the following services and products:

• Kinematic — A field force and leads management SaaS platform accessible via web browser and mobile applications (iOS and Android).
• Carbon Credits Platform (forthcoming) — A marketplace for carbon credit generation, verification, and trading.
• Hyperlocal Neighbourhood App (forthcoming) — A community networking mobile application.
• Professional Services — Implementation, customisation, training, and support services.

4. Account Registration & Security

To access certain features, you must register an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; (d) notify us immediately of any unauthorised access or breach; (e) accept responsibility for all activities conducted under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Payments & Billing

Access to certain Services requires payment of subscription fees or one-time charges.

• Billing Cycle: Subscriptions are billed monthly or annually as selected at purchase.
• Payment Methods: We accept major credit/debit cards, net banking, UPI, and other methods as displayed at checkout. Payments are processed through secure, PCI-DSS compliant third-party payment gateways.
• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.
• Price Changes: We reserve the right to modify pricing with 30 days' advance notice to active subscribers.
• Taxes: All prices are exclusive of applicable taxes (GST and other levies). Taxes are calculated and added at checkout based on your location.
• Failed Payments: If a payment fails, we may retry the charge and/or suspend your account until payment is settled.
• Invoicing: Tax invoices are issued electronically and made available within your account portal.

6. Refunds & Cancellations

Please refer to our Refund Policy for complete details. In summary: monthly subscriptions are non-refundable after 7 days; annual subscriptions may qualify for pro-rated refunds within 30 days of purchase. Professional services are non-refundable once delivered.

7. Mobile Applications

Our mobile applications are available on iOS (App Store) and Android (Google Play). By downloading or using our apps, you also agree to the terms of the respective app store. We may release updates from time to time; continuing to use the app after an update constitutes acceptance of updated Terms. The app requires certain device permissions (location, camera, notifications) for full functionality — these can be managed in your device settings.

8. Acceptable Use Policy

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorised access to any part of the Services or related systems
• Reverse engineer, decompile, or disassemble any software component
• Transmit viruses, malware, or other harmful code
• Scrape, crawl, or extract data without prior written consent
• Use the Services to send unsolicited communications (spam)
• Impersonate any person or entity
• Violate any third party's intellectual property rights
• Upload content that is defamatory, obscene, or otherwise objectionable

9. Intellectual Property

All intellectual property rights in and to the Services, including software, code, design, trademarks, trade names, logos, documentation, and content created by us, are owned by Kaiyo Technology Labs or our licensors. No licence to our intellectual property is granted except as expressly stated in these Terms. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

You retain ownership of data you input into our Services ("Customer Data"). By uploading Customer Data, you grant us a limited licence to process it solely for the purpose of providing the Services.

10. Third-Party Integrations

Our Services may integrate with third-party tools (CRMs, payment gateways, analytics providers). Your use of such integrations is subject to those third parties' own terms and privacy policies. We are not responsible for the practices of third-party services.

11. Data Protection & Privacy

Your use of the Services is governed by our Privacy Policy, incorporated herein by reference. We comply with applicable Indian data protection laws including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

12. Service Availability & SLA

We target 99.9% uptime for our SaaS products. Scheduled maintenance is communicated in advance. We are not liable for downtime caused by factors outside our reasonable control (force majeure, third-party infrastructure failures, etc.).

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KAIYO TECHNOLOGY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kaiyo Technology Labs, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

16. Termination

Either party may terminate the agreement: (a) by the User, by cancelling the subscription through the account portal or by providing 30 days' written notice; (b) by us, immediately for material breach of these Terms, fraudulent activity, or non-payment. Upon termination, your access to the Services ceases, and we may delete your data in accordance with our data retention policy.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be referred to binding arbitration in India under the Arbitration and Conciliation Act, 1996. Courts in India shall have exclusive jurisdiction for any matters not subject to arbitration.

18. Modifications to Terms

We may update these Terms periodically. Significant changes will be notified via email or in-app notification. Continued use of the Services after the effective date of updated Terms constitutes acceptance.

Privacy Policy

Kaiyo Technology Labs ("we", "us", "our") is committed to protecting the privacy and security of your personal information. This Privacy Policy describes how we collect, use, store, share, and protect your personal data when you use our website, mobile applications (iOS/Android), and services. This policy complies with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices) Rules, 2011, and the Digital Personal Data Protection Act, 2023 (India).

1. Information We Collect

a) Information you provide directly:

• Identity data: full name, username, designation, organisation name
• Contact data: email address, phone number, business address
• Account credentials: encrypted passwords, authentication tokens
• Payment data: billing address, GST/tax identifiers (card numbers and bank details are handled directly by our PCI-DSS compliant payment gateway — we do not store raw card data)
• Communications: messages, enquiry forms, support tickets, feedback
• Profile data: preferences, settings, profile photographs

b) Information collected automatically:

• Device information: device type, OS version, unique device identifiers, mobile carrier
• Usage data: pages visited, features used, session duration, click patterns, search queries within the app
• Location data: GPS coordinates (with your permission) for field force tracking features in Kinematic; approximate location derived from IP address
• Log data: IP address, browser type, referring URLs, error logs, access timestamps
• Cookies and tracking technologies (see Cookie Policy)

c) Information from third parties:

• CRM data imported via integrations (Salesforce, HubSpot, etc.)
• Social login data (name, email) if you sign in via Google or other providers
• Payment verification data from payment gateways

2. How We Use Your Information

• Service delivery: To provide, operate, and improve our products and Services
• Account management: To create and manage your account and authenticate your identity
• Payment processing: To process transactions, issue invoices, and manage subscriptions
• Field operations: To enable location-based field force tracking and territory management features (Kinematic)
• Communications: To send service notifications, security alerts, product updates, and marketing communications (you may opt out of marketing emails at any time)
• Customer support: To respond to enquiries and resolve issues
• Analytics & improvement: To understand usage patterns, diagnose bugs, and improve the user experience
• Legal compliance: To comply with applicable laws, regulatory obligations, and legal processes
• Fraud prevention: To detect, investigate, and prevent fraudulent transactions and abuse

3. Legal Basis for Processing

We process your personal data on the following legal bases: (a) Contract — processing necessary to perform our services under our agreement with you; (b) Consent — where you have explicitly consented (e.g., marketing communications, location tracking); (c) Legitimate Interests — for fraud prevention, security, and improving our services; (d) Legal Obligation — where required by law.

4. Data Sharing & Disclosure

We do not sell, rent, or trade your personal information. We may share data with:

• Service providers: Cloud hosting (AWS/GCP), payment processors, email service providers, analytics vendors — all bound by data processing agreements
• Payment gateways: Razorpay, Stripe, or other PCI-DSS compliant processors for transaction processing
• App stores: Apple App Store and Google Play Store for app distribution and in-app purchases
• Integration partners: Third-party CRMs and tools you connect to your account
• Legal authorities: When required by law, court order, or government regulation
• Business transfers: In the event of a merger, acquisition, or asset sale — you will be notified

5. Payment Data & Security

All payment transactions are encrypted using SSL/TLS technology. We use third-party payment gateways that are PCI-DSS Level 1 compliant. We do not store full credit/debit card numbers or CVV codes on our servers. Tokenised card references may be stored for subscription renewals as permitted by applicable payment network rules.

6. Mobile App Permissions

Our mobile applications may request the following permissions:

• Location (GPS): Required for field agent tracking in Kinematic. You can disable this in device settings, though certain features will be unavailable.
• Camera: For document scanning, QR code reading, and profile photos.
• Push Notifications: For real-time alerts and updates. Can be disabled in device settings.
• Contacts & Phone: To enable quick dialling and contact import features (optional).
• Storage: To save reports, documents, and offline data.

All permissions are requested at the time of first use of the relevant feature. You may revoke any permission through your device's settings.

7. Data Retention

We retain your personal data for as long as necessary to provide our Services and fulfil the purposes outlined in this policy, subject to legal and regulatory requirements. Active account data is retained throughout the subscription period. Post-termination, account data is retained for 90 days before deletion, except where we are legally required to retain it longer (e.g., financial records retained for 7 years as per Indian tax laws).

8. Data Security

We implement appropriate technical and organisational measures to protect your data, including:

• AES-256 encryption for data at rest
• TLS 1.3 encryption for data in transit
• Multi-factor authentication for administrative access
• Regular security audits and penetration testing
• Role-based access controls (RBAC)
• Intrusion detection and monitoring systems

Despite these measures, no system is completely secure. In the event of a data breach affecting your rights, we will notify you within 72 hours as required by applicable law.

10. Your Rights

Subject to applicable law, you have the right to:

• Objection: Object to processing based on legitimate interests or for direct marketing

11. Children's Privacy

Our Services are not directed to individuals under 18 years of age. We do not knowingly collect personal data from minors. If we become aware that we have collected data from a minor, we will delete it promptly.

12. International Data Transfers

Your data is primarily stored on servers located in India. Where data is transferred outside India (e.g., to cloud service providers with global infrastructure), we ensure appropriate safeguards are in place including Standard Contractual Clauses or equivalent protections.

13. Grievance Officer

14. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be communicated via email or prominent in-app notice. The updated policy takes effect on the date specified.

Refund & Cancellation Policy

This Refund and Cancellation Policy applies to all paid Services provided by Kaiyo Technology Labs We strive to ensure your satisfaction with our products. Please read this policy carefully before making a purchase.

1. SaaS Subscription Products (Kinematic & Forthcoming Apps)

Monthly Subscriptions: You may request a full refund within 7 days of the initial subscription payment if you are not satisfied. After 7 days, monthly subscription fees are non-refundable. You may cancel at any time; access continues until the end of the current billing period.

Annual Subscriptions: You may request a full refund within 14 days of the initial annual payment. Between 15 and 30 days, a pro-rated refund for unused months (less a 10% processing fee) will be issued. After 30 days, annual subscription fees are non-refundable, though you may cancel future renewals.

Upgrades/Downgrades: Plan upgrades are charged the pro-rated difference for the remainder of the billing cycle. Plan downgrades take effect at the next billing cycle.

2. Mobile App In-App Purchases

In-app purchases made through the Apple App Store or Google Play Store are subject to Apple's and Google's respective refund policies. We do not process refunds for App Store or Play Store purchases directly — please contact Apple or Google support. For purchases made directly through our website, our standard refund policy applies.

3. Professional & Implementation Services

Fees paid for implementation, customisation, training, and consulting services are non-refundable once the service has been delivered or commenced. If we are unable to commence agreed services within 30 days of payment, a full refund will be issued.

4. Carbon Credits Platform (Forthcoming)

Given the nature of carbon credit trading, all verified carbon credit purchases are final and non-refundable once verified and transferred. Marketplace listing fees are non-refundable. Any disputes regarding credit quality or verification must be raised within 14 days of transfer.

5. Cancellation Process

To cancel your subscription: (a) Log into your account and navigate to Billing settings; (b) Select "Cancel Subscription" and follow the prompts; or (c) Email s@kaiyotechnologylabs.com with your account details and cancellation request. Cancellations are effective at the end of the current billing period. You will not be charged after cancellation.

6. Refund Process

Approved refunds are processed within 7–10 business days and returned to the original payment method. In cases of bank transfer, processing may take up to 15 business days. GST and other taxes paid are refunded proportionately where applicable.

7. Disputed Charges

If you believe you have been incorrectly charged, contact us at s@kaiyotechnologylabs.com within 30 days of the charge. We will investigate and respond within 5 business days. Please do not initiate a chargeback before contacting us, as this may result in account suspension.

8. Exceptions

We reserve the right to deny refunds where: (a) there is evidence of fraud or abuse; (b) the Terms of Service have been violated; (c) refund requests are made after the eligible window has passed.
